This Music Licensing Agreement (the “Agreement”) is entered into between Massive Tiny Music (“Licensor”) and the individual or entity purchasing the license (“Licensee”) and governs the use of music tracks (the “Music”) provided by the Licensor. By purchasing and using the Music, the Licensee agrees to comply with the terms and conditions set forth in this Agreement.
1. Grant of License
The Licensor grants the Licensee a non-exclusive, non-transferable, worldwide license to use the Music in accordance with the terms of this Agreement. This license is for the purpose of synchronizing the Music with visual, audio, or audiovisual content in the Licensee’s project (the “Project”).
2. Permitted Uses
The Licensee may use the Music in the following ways:
- Web Use: Online platforms, including but not limited to YouTube, Vimeo, social media, and websites.
- Broadcast Use: Local, regional, national, and international television or radio programs and advertisements.
- Film and Theatrical Use: Feature films, short films, documentaries, and other productions distributed in theaters, film festivals, or online.
- Corporate and Industrial Use: Internal presentations, training videos, corporate events, or promotional content.
- Live Events: Background music for conferences, trade shows, or similar events.
- Streaming Platforms: Projects distributed on streaming services such as Netflix, Hulu, Amazon Prime, or similar platforms.
- Podcasts and Audio-Only Content: Inclusion in podcasts, audiobooks, or other audio-based content.
3. Restrictions
The Licensee may not:
- Resell, sublicense, or redistribute the Music as a standalone product.
- Claim ownership of the Music, including through copyright registration.
- Use the Music in illegal, defamatory, or hate-based content.
4. License Terms
- Non-Exclusive Use: This license does not grant exclusivity. The Licensor retains the right to license the same Music to other parties.
- Project Specific: The license applies to a single Project unless otherwise agreed upon in writing.
- Derivative Works: The Licensee may edit, loop, or alter the Music to fit the Project, but the original Music must remain recognizable.
5. Attribution
Credit to Massive Tiny Music is appreciated but not required unless specified in a custom licensing agreement.
6. Indemnification
The Licensee agrees to indemnify and hold harmless the Licensor against all claims, damages, or expenses arising from the Licensee’s use of the Music.
7. Termination
This license is valid in perpetuity for the specified Project unless terminated due to breach of terms. Upon termination, the Licensee must cease all use of the Music.
8. Governing Law
This Agreement is governed by the laws of the State of Wisconsin, United States, without regard to its conflict of law principles.
9. Custom Licenses
For exclusive licenses, global campaigns, or custom compositions, the Licensee must enter into a separate agreement with the Licensor.
